Welcome to MatrixPrompter. By accessing or using our platform and services, you agree to be bound by the following Terms of Service (“Terms”, “Agreement”). Please read them carefully before using MatrixPrompter.com.

1. Acceptance of Terms

By registering, purchasing, or using any part of the MatrixPrompter platform, you confirm that:

• You are at least 18 years of age or using the platform under adult supervision
• You have read, understood, and agreed to these Terms and our related policies
• You will comply with all applicable laws and platform rules

If you do not agree to these Terms, please do not use our services.

2. Nature of Service

MatrixPrompter is a subscription-based SaaS platform that offers access to artificial intelligence tools including chatbots, image and video generation, voice tools, and automation systems. All services are provided digitally via our web interface and integrations.

3. Account Registration & Security

You are responsible for:

• Providing accurate and current information during registration
• Maintaining the confidentiality of your login credentials
• All activities that occur under your account

We reserve the right to suspend or terminate accounts suspected of abuse or policy violation.

4. Subscription & Billing

MatrixPrompter services are provided and billed under the legal entity operating this platform. All payments are processed securely through authorized third-party payment providers (e.g., Stripe), and payment information is never stored on MatrixPrompter servers.

• Services are provided on a monthly or annual subscription basis
• Prices, features, and billing cycles are clearly listed at checkout
• By subscribing, you authorize recurring billing unless cancelled
• All transactions are processed securely through our authorized payment gateways

5. Refund & Cancellation Policy

Due to the digital and instantly accessible nature of our services, we do not offer refunds once a subscription has been activated. This policy aligns with global regulations for non-tangible digital goods.

You may cancel your subscription at any time via your account dashboard. Cancellation prevents future renewals but does not entitle you to a refund for the current billing period.

No Cooling-Off Period Applies: As the service is fully digital and activated immediately, no right of withdrawal applies under standard “distance sales” laws.

6. License and Usage Rights

Upon subscription, we grant you a non-exclusive, non-transferable license to use MatrixPrompter’s tools for lawful, internal business or creative use, including commercial output rights.

You may not:

• Resell, sublicense, or distribute access to MatrixPrompter
• Reverse engineer, duplicate, or extract the service logic
• Use the service for unlawful or harmful purposes

Generated content remains your intellectual property unless explicitly stated otherwise.

7. AI Content & Input Data

• All AI-generated content is created based on user prompts and third-party AI providers (e.g., OpenAI, Claude, Gemini)
• Inputs and outputs are not stored permanently unless saved by the user
• You are responsible for ensuring that content does not violate any copyright, ethical, or legal boundaries

8. Service Availability & Limitation

While we strive for high uptime and stability, we do not guarantee uninterrupted service. Maintenance, upgrades, or third-party disruptions may occasionally affect availability.

We are not liable for indirect damages, data loss, or business interruption arising from use or inability to use the service.

9. Privacy & Security

Your data is processed according to our Privacy Policy and Security Practices. We adhere to GDPR, CCPA, and KVKK where applicable.

10. Intellectual Property

All platform code, UI/UX, branding, and underlying technology remain the property of MatrixPrompter. Use of the platform does not grant ownership or rights to reverse-engineer or clone the service.

11. Termination of Access

We reserve the right to suspend or terminate your access without prior notice if:

• You violate these Terms
• You engage in abuse, fraud, or platform misuse
• Required by law or regulatory action

12. Changes to Terms

We may update these Terms periodically to reflect legal or operational changes. Continued use of the platform after such updates constitutes your acceptance of the revised Terms.

13. Distance Sales Agreement

In accordance with E-commerce and Distance Sales Regulations, this agreement acts as a binding digital contract between the user and MatrixPrompter.

Since the product is a digitally delivered, immediately accessible service, the right of withdrawal does not apply under standard consumer protection laws (per Article 15 of EU Directive 2011/83/EU and local equivalents).

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Turkey (or USA), without regard to its conflict of law principles.
